These terms govern use of the BlueRickshaw platform — the web application, the WhatsApp ordering assistant and the voice ordering line — operated by [registered legal entity name] (“BlueRickshaw”, “we”). By creating an account or placing an order you accept them. If you are accepting on behalf of a business, you confirm you are authorised to bind it.
This is a service for businesses. It is not offered to consumers, and consumer distance-selling protections do not apply to trade between the parties on it.
What BlueRickshaw is
BlueRickshaw is the platform on which distributors list stock and retailers order it. Unless we are named as the seller on a particular order, the contract of sale is between the distributor and the retailer. We provide the software that carries the order, the catalogue, the stock record and the paperwork — we are not a party to that sale, and we do not own the goods.
Accounts
- Accounts are created by BlueRickshaw or by an administrator within your own organisation. Each account belongs to one named person; credentials must not be shared.
- You are responsible for what happens under your account. Tell us immediately at info@bluerickshawusa.com if you think it has been compromised.
- What an account can do is set by the role assigned to it. An administrator in your organisation can change that role, and doing so takes effect immediately.
- We may suspend an account that is being used to breach these terms, or where we reasonably believe it has been compromised.
Ordering
- Products are sold in whole cases. Each product carries a case size, and that case size is both the minimum order and the step in which quantities increase. Quantities that do not fit it will be adjusted upward to the next whole case.
- Prices, availability and lead times are set by the distributor fulfilling the order and can change until the order is confirmed. An order placed through the platform is an offer to buy; it becomes binding when the distributor confirms it.
- Stock figures reflect what the distributor has recorded. They are accurate to the last stock movement recorded, not a guarantee that an item will still be available when an order is confirmed.
- Orders placed by WhatsApp or voice are interpreted by automated assistants. Always check the confirmation you receive before it is dispatched — the confirmed order is what governs, not the message that produced it.
Delivery, shortages and damage
Delivery is arranged by the distributor. Check goods on receipt and record any shortage or damage on the platform when you receive the consignment, so the discrepancy is attached to the delivery it relates to. Claims raised later are harder to settle and may be refused by the distributor.
Payment and taxes
Payment terms, credit limits and settlement periods are agreed between distributor and retailer and recorded on the platform. Invoices are raised in the seller’s name and carry the tax applicable to the goods. Prices exclude GST unless stated otherwise. You are responsible for the accuracy of the tax registration details on your own account.
Where BlueRickshaw charges a fee for use of the platform, it is agreed separately in writing with your organisation.
Your content and data
You keep ownership of the information you put into the platform — your catalogue, your stock records, your orders. You grant us the licence needed to host it, display it to the parties entitled to see it, and process it to run the service. Personal information is handled as set out in our Privacy Policy.
Acceptable use
You must not:
- try to reach data belonging to another organisation, or probe the platform for a way to do so;
- scrape the catalogue, resell access, or use the platform to build a competing product;
- upload malware, or interfere with the platform’s operation or security;
- list goods you are not entitled to sell, or misdescribe them;
- use the platform for anything unlawful.
Please report a security issue to info@bluerickshawusa.com rather than publishing it. We will not pursue anyone who investigates in good faith, tells us first, and does not access data belonging to others.
Availability
We work to keep the platform available but do not promise it will be uninterrupted. We may take it down for maintenance, and will give notice where we reasonably can. Any uptime commitment applies only where it is written into a separate agreement with your organisation.
Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that: we are not liable for loss of profit, loss of business, or indirect or consequential loss; and our total liability arising out of the platform in any twelve-month period is limited to the fees you paid us for it in that period. Because we are not a party to the sale, disputes about the goods themselves — quality, quantity, delivery, payment — are between the distributor and the retailer, and we will provide the platform records that help settle them.
Ending it
Your organisation may stop using the platform at any time. We may end or suspend access for material breach of these terms, or on [notice period] notice. When access ends, we keep transaction records for as long as the law requires, and you can ask for a copy of your data before it is deleted.
Governing law
These terms are governed by the laws of [jurisdiction], and the courts of [city] have exclusive jurisdiction over any dispute.
